All Nippon Airways Co., Ltd. ("ANA") and ANA Real Estate Co., Ltd ("ANA Real Estate") announced that, in accordance with resolutions adopted at their respective Board Meetings held today, both companies have signed a share exchange agreement whereby ANA Real Estate will become a wholly owned subsidiary of ANA. Since the share exchange is subject to approval of the share exchange agreement at the ANA Real Estate Annual General Shareholder´s Meeting to be held on June 28, 2005, the share exchange is expected to come into effect on October 1, 2005. In accordance with Article 358 of the Commercial Code of Japan (simple share exchange), there is no plan to submit the share exchange agreement for approval at the ANA Annual General Shareholder´s Meeting.
